Pivit is a professional services provider headquartered in India, serving businesses in the United States, United Kingdom, United Arab Emirates, and Australia. Our services include:

Process Systemization and operational structuring
Workflow Automation design and implementation
Administrative Assistance and virtual support
Bookkeeping and financial record management
Payroll processing and administration
Tax preparation and compliance support

The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate service agreement, statement of work, or proposal agreed upon by both parties before work begins.

Service Engagement and Agreements

These Terms provide the general framework governing our relationship. Individual service engagements are governed by a separate written agreement (such as a Service Agreement, Statement of Work, or Proposal) that outlines the specific scope of work, deliverables, fees, payment terms, and timelines.

In the event of a conflict between these Terms and a specific service agreement, the terms of the service agreement will prevail to the extent of the conflict.

Client Responsibilities

A successful engagement depends on collaboration. When you engage our services, you agree to:

  • Provide timely, accurate, and complete information necessary for us to perform the agreed services
  • Grant appropriate access to the platforms, tools, and systems required for service delivery (such as QuickBooks Online, Asana, Gusto, or similar platforms)
  • Review and approve deliverables within the timelines specified in your service agreement
  • Designate a primary point of contact to facilitate clear and efficient communication
  • Maintain the confidentiality of any login credentials shared with us and revoke access promptly if needed

Delays resulting from incomplete information, delayed access, or delayed approvals may affect timelines and deliverables. We will communicate proactively if any client-side delays arise.

Platform Access and Data Handling

When providing services such as bookkeeping, payroll, and tax support, we work exclusively within your existing platforms and systems. We do not store, download, or retain your financial data, bank account details, tax records, or payroll information on our own servers or systems.

You retain full ownership and control of your data at all times. Access granted to us is limited to what is necessary to perform the agreed services, and you may revoke that access at any time.

We implement commercially reasonable security practices when accessing your platforms and treat all client information as confidential.

Fees and Payment

Fees for our services will be outlined in your individual service agreement. Unless otherwise specified:

  • Invoices are issued on a monthly basis or as specified in your agreement
  • Payment is due within fifteen (15) days of the invoice date, unless otherwise agreed in writing
  • Late payments may be subject to a late fee of 1.5% per month on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower
  • We reserve the right to pause or suspend services if payment remains outstanding for more than thirty (30) days after the due date

All fees are exclusive of applicable taxes, which are the responsibility of the client unless otherwise stated.

Intellectual Property

Our Intellectual Property

All content on our website, including text, graphics, logos, images, templates, frameworks, tools, and software — is the property of Pivit Business Operations or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on our website without our prior written consent.

Client Deliverables

Work product created specifically for you as part of a paid service engagement (such as process documentation, workflows, or reports) becomes your property upon full payment, unless otherwise agreed in writing. We may retain anonymized, generalized versions of frameworks and methodologies for use in serving other clients.

Feedback

If you provide suggestions, ideas, or feedback regarding our services, you grant us the right to use that feedback without restriction or compensation to improve our offerings.

Confidentiality

Both parties agree to treat confidential information shared during the course of our engagement with appropriate care and discretion. Confidential information includes any non-public business, financial, operational, or technical information disclosed by either party.

We will not disclose your confidential information to third parties without your prior written consent, except as required by law, regulation, or legal process, or to trusted service providers who assist us in delivering our services and who are bound by confidentiality obligations.

This confidentiality obligation survives the termination of any service agreement.

Limitation of Liability

We are committed to delivering high-quality services with professionalism and care. However, to the fullest extent permitted by applicable law:

  • No Guarantee of Results: Our services are professional in nature. While we work diligently to support your operations, we do not guarantee specific business outcomes, financial results, or regulatory compliance outcomes.
  • Cap on Liability: Our total liability for any claim arising out of or related to our services will not exceed the total fees paid by you to us during the three (3) months immediately preceding the event giving rise to the claim.
  • Exclusion of Indirect Damages: To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, regardless of whether we were advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any liability that cannot be legally excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Pivit Business Operations, its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms or any applicable service agreement
  • Your use of our website or services in a manner not authorized by these Terms
  • Any inaccurate, incomplete, or misleading information provided by you
  • Any violation of applicable law or third-party rights by you

Term and Termination

These Terms remain in effect as long as you use our website or maintain an active service engagement with us.

Termination by Either Party

Either party may terminate a service engagement by providing written notice as specified in the applicable service agreement. If no notice period is specified, either party may terminate with thirty (30) days' written notice.

Termination for Cause

Either party may terminate immediately upon written notice if the other party materially breaches these Terms or a service agreement and fails to cure the breach within fifteen (15) days of receiving written notice of the breach.

Effect of Termination

Upon termination:

  • You will pay all fees for services performed through the effective date of termination
  • We will provide reasonable transition assistance to facilitate an orderly handover, subject to payment of outstanding fees
  • Access to your platforms will be returned or released promptly
  • Provisions related to confidentiality, intellectual property, limitation of liability, and indemnification will survive termination

Dispute Resolution

We believe most concerns can be resolved through open communication. If a dispute arises, both parties agree to first attempt to resolve it informally through good-faith discussion.

If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration administered under the rules of a mutually agreed arbitration body, or through the courts of competent jurisdiction as outlined below.

Governing Law and Jurisdiction

United States

Governed by the laws of the State of Florida, without regard to conflict of law provisions.

United Kingdom

Governed by the laws of England and Wales.

United Arab Emirates

Governed by the laws of the United Arab Emirates, as applicable in the relevant emirate.

Australia

Governed by the laws of the Commonwealth of Australia.
